Article 1. Objet

Les conditions générales de ventes décrites ci-après détaillent les droits et obligations entre d’une part l’agence Com&Co Events, dénommée « la société », vendant les services définis ci-après, et d’autre part la personne physique ou morale, dénommée « le client », achetant un ou plusieurs de ces services par l’intermédiaire d’un contrat tel que défini ci-dessous.

Article 2. Contrat

Le bon de commande/le formulaire d’inscription complété ou le devis signé constituent une proposition de contrat pour lequel le client, ou son éventuel mandataire pour lui-même, déclare expressément disposer du pourvoir, de l’autorité et de la capacité à sa conclusion et à l’exécution des obligations lui incombant. 
Le contrat est formé et les deux parties engagées dès réception par la société du formulaire d’inscription/bon de commande complété ou du devis signé.

Article 3. Conditions d’évolution

La société se réserve le droit de modifier les articles des conditions générales de vente à tout moment. Toute nouvelle version entre en vigueur le jour suivant sa mise en ligne sur le site www.comnco.com et sera applicable à toute nouvelle proposition ou à tout avenant émis postérieurement à la date de sa signature.

Article 4. Délai de rétractation

Le client a la faculté d’annuler le contrat dans les 7 jours suivant sa réception par lettre recommandée avec avis de réception du signataire du contrat telle que stipulée à l’article 2. Si ce délai expire, notamment un samedi, un dimanche ou un jour férié ou chômé, il est prorogé jusqu’au premier jour ouvrable suivant.

Article 5. Conditions d’annulation

Partie 1 : Les sponsors/partenaires

5.1 Toute demande d’annulation, hors cas de force majeure, après le délai de rétractation entraînera le règlement de 50 % du montant de la participation. Si l’intégralité du contrat a été réglée par le client, la société procédera à son remboursement à hauteur de 50 %.

5.2 Toute demande d’annulation, hors cas de force majeure, à un mois de la date de l’événement sera rejetée et ceci entraînera le règlement à la société de l’intégralité du montant de la participation.

Partie 2 : Les participants

5.3 Toute demande d’annulation, hors cas de force majeure, reçue jusqu’à 60 jours avant la date de l’événement fera l’objet d’un remboursement intégral sans frais.
Des frais d’annulation d’un montant de 25 % seront retenus pour les annulations comprises entre 60 et 30 jours avant la date de début du congrès.
A un mois de la date de l’événement aucune annulation ne sera remboursée.

5.4 Les frais relatifs à l’organisation logistique sur place (hébergement, transferts, etc.) ne peuvent faire l’objet d’un remboursement sous aucun délai (hors délai de rétraction légal).

5.5 À moins de 7 jours de l’événement (délai de rétraction légal) toute prestation payée ne pourra faire l’objet d’un remboursement.

Article 6 : Annulation/report d’un évènement

Partie 1 : Annulation à plus de 45 Jours de la date initiale de l’évènement

6.1 Pour une annulation à plus de 45 jours de la date initiale de l’événement, la société proposera deux options au client :
– Une annulation du contrat et remboursement intégral des sommes perçues ;
OU
– Un report du contrat dans les mêmes conditions sans frais additionnels de gestion sur N+1.

Option digitalisation : La société se réserve le droit de modifier le format de l’événement, de présentiel à distanciel afin d’éviter une annulation. Dans ce cas les conditions ci-dessus ne s’appliquent pas.
La société proposera un ajustement des tarifs de prestations et deux options au choix du client :
– Annulation du contrat et remboursement intégral des sommes perçues ;
OU
– Modification du contrat avec ajustement des tarifs, sans frais de gestion supplémentaire.

Partie 2 : Annulation à moins de 45 jours de la date initiale de l’évènement

6.2 Pour une annulation à moins de 45 jours de la date initiale de l’événement, La société proposera deux options au client :
– Un report du contrat dans les mêmes conditions sans frais additionnels de gestion sur N+1 ;
OU
– Une annulation du contrat et remboursement des sommes perçues après déduction de 10% de frais de dossier.

Option digitalisation : La société se réserve le droit de modifier le format de l’événement, de présentiel à distanciel afin d’éviter une annulation. Dans ce cas les conditions citées ci-dessus ne s’appliquent pas.
La société proposera un ajustement des tarifs de prestations et deux options au choix du client :
– Participants seulement : Annulation du contrat et remboursement des sommes perçues après déduction de 10% de frais de dossier. Les sponsors/partenaires ne peuvent bénéficier que de l’option suivante.
OU
– Modification du contrat avec ajustement des tarifs, sans frais de gestion supplémentaire.

Partie 3 : Report de l’événement

6.3 Un report de l’événement sur l’année en cours impliquera un report du contrat aux nouvelles dates de la manifestation et ne permettra aucun remboursement.

6.4 Un report de l’événement sur l’année suivante constitue une annulation de la part de la société. Se référer aux parties 1 et 2 relatives de l’annulation.

Partie 4 : Force majeure

6.5 Toute situation résultant d’une circonstance imprévisible et empêchant totalement l’exécution du Contrat par les Parties, constituera un cas de force majeure, au sens de l’article 1218 du Code Civil (exemple : pandémie).
Si annulation pour cas de force majeure se référer seulement à la partie 2 de l’article 6.
Si report pour cas de force majeure se référer à la partie 3 de l’article 7.

Article 7. Les prix

7.1 Les tarifs des services vendus sont ceux en vigueur au jour de l’envoi du bon de commande ou du formulaire d’inscription au client. Ils sont libellés en euros. Ils sont calculés hors taxes pour les bons de commande et majorés de la TVA pour les formulaires d’inscription.

7.2 La société se réserve le droit de modifier à tout moment sa grille tarifaire sans rétroactivité concernant les contrats conclus sur l’année en cours.

Article 8. Obligations et droits

Partie 1 : Les sponsors

8.1 La totalité du montant établi doit être versé impérativement 30 jours avant la date de la manifestation. Le paiement des contrats conclu après cette date devra être effectué avant le début de la manifestation. Le règlement des services s’effectue exclusivement en euros :

8.2 Le règlement des services peut être échelonné sous réserve d’un accord préalable avec la société.

8.3 Si le paiement complet n’est pas effectué dans la période établie ou un accord mutuel consenti entre les parties, le sponsor devra payer à la société des intérêts sur le montant total, au taux de 2,5 % par mois depuis la date à laquelle le paiement est dû jusqu’à réception du montant complet par la société.

8.4 Des frais d’administration de dossier de 50,00 euros HT seront facturés en sus.

8.5 Aucun escompte n’est consenti en cas de paiement anticipé.

8.6 Une identification du numéro de TVA est requise pour la facturation. Les sponsors qui n’auront pas communiqué leur numéro de TVA pour les manifestations à l’étranger seront soumis à payer les frais relatifs à celle-ci.

Partie 2 : Les participants

8.7 La totalité du montant établi (participation, hôtellerie, inscription complémentaire) doit être versé impérativement avant la date de la manifestation.
Le règlement des services s’effectue exclusivement en euros :

8.8 Si le paiement complet n’est pas effectué dans la période établie ou selon un accord mutuel consenti entre les parties, la société se réserve le droit d’annuler le contrat et de refuser l’accès à la manifestation.

Article 9. Obligations et droits de la société (vis-à-vis du sponsor)

9.1. La société a l’obligation de mettre en œuvre tous les moyens qu’elle juge nécessaires et suffisants pour satisfaire ses clients, dans la limite des services contractualisés. Si le présent contrat donne droit à l’attribution d’espace d’exposition, cette dernière est faite en respectant au maximum les vœux de chacun. Cependant, la société se réserve le droit d’en modifier l’implantation en cas d’absolue nécessité, et ceci sans que l’exposant puisse prétendre à un quelconque dédommagement.

9.2 Toute décoration ou aménagement particulier doit être soumis à l’accord préalable de la société.

Article 10. La limitation de responsabilité (vis-à-vis du sponsor)

10.1 La responsabilité de chacune des parties est limitée aux engagements souscrits par elles aux termes du contrat. En conséquence, la responsabilité de la société ne peut notamment pas être engagée en cas de préjudices directs ou indirects liés à l’intervention en dehors du contrat d’un ou plusieurs prestataires.

10.2 En cas d’annulation de l’événement par le comité d’organisation ou par la Société pour quelle que raison que ce soit, l’intégralité des sommes versées à la Société lui sera remboursée. Ces dispositions prévalent, en cas de contraction, sur les conditions générales de vente de la Société.

10.3 La société ne pourra pas être responsable d’un quelconque retard ou d’un changement de date de la manifestation suite à une décision des directeurs.

Article 11. Installation/enlèvement
(vis-à-vis du sponsor)

Les sponsors doivent respecter les délais mentionnés sur le dossier technique. L’exposant s’engage à respecter les horaires d’emménagement et de déménagement qui lui sont signifiés dans le dossier exposant. Jusqu’au déménagement complet des stands, il est obligatoire de prévoir un responsable de stand par le sponsor afin d’éviter les vols.

Article 12. Assurance et sécurité (vis-à-vis du sponsor)

Les sponsors sont réputés connaître les mesures de sécurité imposées par les Pouvoirs publics. L’exposant doit être obligatoirement couvert par une police d’assurance responsabilité civile d’entreprise et une garantie dommages exposants pour les biens lui appartenant. La société décline toute responsabilité sur les points précédents. Quelle que soit la cause ou la nature des dommages éventuels, le sponsor et/ou ses sous-traitants éventuels déclarent avoir renoncé à tout recours contre la société.

Article 13. Dégradation (vis-à-vis du sponsor)

Tous dégâts causés à la fois au bâtiment qui accueille la manifestation, aux structures des stands, aux sols par les produits exposés seront facturés au sponsor mis en cause.

Article 14. Visiteurs

La société se réserve le droit d’expulser toute personne dont l’attitude justifierait selon elle une telle mesure.

Article 15. Application du règlement

Le client accepte le présent règlement ainsi que toutes les nouvelles dispositions qui pourraient intervenir, imposées par les circonstances et adoptées par la société dans l’intérêt de la manifestation. Toute infraction au présent règlement peut entraîner l’exclusion d’un client contrevenant, sans mise en demeure préalable.

Article 16. Clause d’arbitrage

16.1 Les parties contractantes s’accordent pour que tout litige, désaccord, question ou réclamation résultant de l’exécution ou de l’interprétation du présent contrat ou lié à celui-ci, directement ou indirectement, soit établi et définitivement porté près du Tribunal de Commerce de Marseille. Seuls les textes du présent règlement font foi.
 L’arbitrage sera conduit en accord avec les principes d’équités.

16.2 Sans préjudices à ce qui précède, la société se réserve le droit d’engager de telles procédures légales si nécessaire comme moyen de précaution auprès de la juridiction où les contractants ont leurs biens.

Article 17. Provision finale

17.1 Ce contrat n’inclura sous aucune circonstance le programme de la manifestation.

17.2 Ce contrat pourra uniquement être modifié par les deux parties. Toute notification soumise par l’une ou l’autre des parties et/ou toute modification introduite à ce contrat doit être établie par écrit et signée par la même personne physique qui a signé ce contrat et doit être accepté dans tous les cas par les deux parties.

17.3 Des modifications partielles ne pourront rendre le contrat invalide.

17.4 Ce contrat prendra effet à la date signée sur le bon de commande et/ou à la date de réception par la société du bulletin d’inscription.

Article 1. Subject

General terms of sale described below detail rights and duties between the agency Com&Co Events, referred « the company », selling the services defined below, and natural or legal person, referred « the customer », buying one or several of these services through a contract as defined below.

Article 2. The contract

The order form or the completed registration form constitutes a proposal of contract on which the customer, or his possible representative, expressly states to have the power, the authority and the capacity in his conclusion and to the execution of the obligations it must assume.

The contract is formed and both committed parties from reception by the company society of the registration form or the order form. The latter must be duly signed by customer, stamped and shall bear the endorsement « Agreed and signed ».

Article 3. Conditions for changing

The company reserves the right to modify articles of general terms of sale at any time. Any new version shall enter into force the day following its on-line publishing on the website www.comnco.com and will be applicable to any new proposal or to any endorsement issued after the date of its signature.

Article 4. Withdrawal period

The Client shall have the option of cancelling the agreement within 7 days following his signature by registered letter with acknowledgement of receipt of the signatory of the contract such as stipulated in the article 2. If this deadline expires, in particular one Saturday, Sunday or a official holiday or a nonworking day it will be extended to the first working day thereafter.

Article 5. Cancellation policy

Part 1: Sponsors

5.1 Any request for cancellation from a sponsor after the retraction period will be lead for him the settlement to the organization of 50% of the amount of the participation.

If the customer settled the entire contract, the company will proceed to the refund of the contract to 50%.

5.2 Any request for cancellation one month before the event will be rejected and this will entail from the sponsor the settlement to the organization of the he entire amount of the participation.

Part 2: Participants

5.3 The cancellation of participation in an event (except in case of Force Majeure) will be accepted if it is received at least 60 days before the event, by registered letter with acknowledgement of receipt of the signatory of the contract.

Cancellation fees to the amount of 25 % will be retained between 60 and 30 days before the beginning of the event.

Within 30 days before the event, no cancellation will be refunded.

5.4 The cancellation of accommodation is not accepted and cannot be subject of a refund.

5.5 Within 7 days before the event no paid prestation will be refunded?

Article 6. Cancellation/Event postponing

Part 1: Cancellation up to 45 days before the event

6.1 For any cancellation up to 45 days before the event, the company the will propose two options:

-Cancellation of the contract and global refunds of the funds collected.

OR

-Postponing of the contract in the same conditions without any additional fees on the next year.

Virtual Option: The company has the possibility to decide whether to change the format of the event into virtual so that to avoid any cancellation. In this case, the conditions above can not be applied.

The company will propose to adjust the service fees and two options to be chosen by the customer:

-Cancellation of the contract and global refunds of the funds collected.

OR

-Changing of the contract with fees adjustments without any fees of files.

Part 2: Cancellation 45 days before the event

6.2 For any cancellation 45 days before the event, the company will propose two options to the customer:

– Postponing of the contract in the same conditions without any additional fees on the next year.

OR

-Cancellation of the contract and global refunds of the funds collected including 10% fees of file.

Virtual Option: The company has the possibility to decide whether to change the format of the event into virtual so that to avoid any cancellation. In this case, the conditions above can not be applied.

The company will propose to adjust the service fees and two options to be chosen by the customer:

-Cancellation of the contract and global refunds of the funds collected including 10% fees of file. The sponsors can only benefit from this option.

OR

-Changing of the contract with fees adjustments without any fees of files.

Part 3: Postponing of the event

6.3 The postponing of the event on the current year will imply a contract postponing at the new dates of the event and will allow no refunds.

6.4 The postponing of the event on the next year implies a cancellation from the company. Please refer to parts 1 & 2 of the cancellation.

Part 4: Force Majeure

6.5 All situation resulting from unpredictable circumstance and preventing from the execution of the contract by both parties will pose a case of Force Majeure as mentioned on the Civil Code (Art. 1218, example, Pandemic).
If cancellation is done in case of Force Majeure, please refer to Part 2 of Article 6.
If postponing is done in case of Force Majeure, please refer to part 3 of Article 7.

Article 7. Prices

7.1 The rates of the sold services are those in effect the day of the sending of the order form or the registration form to the customer. They are denominated in euros. They are calculated exclusive of tax for order forms and increased by the VAT for registration forms.

7.2 The company reserves the right to modify at any time its price list.

Article 8. Rights and duties

Part 1: Sponsors

8.1 The full amount must be paid necessarily 30 days before the date of the event. The payment of contracts concluded after this date must be done before the beginning of the exhibition. The payment of the services is exclusively in euros:

8.2 The payment of the services can be spread out subject to prior agreement of the company.

8.3 If the full payment is not made within the established period or mutual agreement between the parties, the sponsor will have to pay to the company interests on the total amount of 2,5 % per month since the date on which payment is due until having received the full payments by the company.

8.4 50,00 euros excluding VAT administration fee will be invoiced separately.

8.5 No discount will be given for advance payments.

8.6 An identification of the VAT number is required for the invoicing. The sponsors who will not have communicated their VAT number for international events will be subjected to pay the associated fees.

Part 2: Participants

8.7 The full amount established (participation, accommodation, additional registration) must be necessarily paid before the date of the event.

The settlement of the services is exclusively made in euros:

8.8 If the full payment is not made during the established period or according to a mutual agreement granted between the parts, the company reserves the right to cancel the contract and to refuse the access to the event.

Article 9. Rights and obligations of the company (regarding the sponsor)

9.1 The company agrees to use all the resources at its disposal to ensure customer satisfaction within the limits of the contractual services. If the present contract provides the right to the attribution of an exhibition area while respecting the individual wishes. However, the company reserves the right to modify the place in the event of absolute necessity, and this without the exhibitor being able to claim any damages.

9.2 Any decoration or special arrangement must be approved to the preliminary agreement or the prior approval of the company.

Article 10. The limitation of liability (regarding the sponsor)

10.1 The responsibility of each of the parties is limited to the engagements underwritten by them in the terms of the contract. By consequence the responsibility of the company cannot notably be engaged in the event of direct or indirect prejudice linked to the intervention outside the contract of one or several of the contractors.

10.2 In cases of force majeure, it becomes impossible to take possession of the premises to the date mentioned, the organizing committee would be required to refund the sums paid with the customer, less liabilities to prepare the event.

10.3 The company cannot be held responsible for any delay or change of date of the event due to director’s decision.

11 Installation / Removal (regarding the sponsor)

The sponsors have to meet the deadlines mentioned on the technical file. The exhibitor makes a commitment to respect the schedules of moving in and moving out which are mentioned in the exhibitor file. Until the complete removal of the stands, it is mandatory to provide a stand manager by the sponsor to avoid theft.

Article 12. Insurance and security (regarding the sponsor)

Sponsors must know the safety measures imposed by the public authorities.

The exhibitor must be compulsorily covered by a civil liability policy and an exhibitors damages coverage to property belonging to him.

The company disclaims any responsibility on the previous points. Whatever the cause or the nature of the damage, the sponsor and / or its subcontractors say they have renounced all claims against the company.

Article 13. Deterioration (regarding the sponsor)

Any damage to the building which hosts the event, the structures of the stands, soils exposed by the products will be charged to the sponsor in question.

Article 14. Visitors

The company reserves the right to expel any person whose attitude justifies such a measure.

Article 15. Application of the Regulation

The customer accepts these regulations and any new provisions that may occur, imposed by circumstances and adopted by the company in the interest of the event. Any violation of this regulation may result in the exclusion of a contravener client, without prior notice.

Article 16. Arbitration clause

16.1 The contracting parties agree that any dispute, disagreement, question or complaint arising from the implementation or interpretation of this agreement or related to it, directly or indirectly, be prepared and definitely goes to the Commercial Court from Marseille. Only texts these rules are authentic.
The arbitration shall be conducted in accordance with the principles of equities

16.2 Without prejudice to the foregoing, the company reserves the right to take such legal proceedings if necessary as a means of precaution to the jurisdiction that the contractors have their property.

Article 17. Final provision

17.1 This contract does not include under any circumstances the event program.

17.2 This contract may only be amended by both parties. Any notice submitted by one or other of the parties and / or any amendment made to this contract must be in writing and signed by the same individual who has signed this contract and must be accepted in all cases by both parties.

17.3 Partial changes will not make the contract invalid.

17.4 This contract will be effective on the date signed on the purchase order and / or the date of receipt by the company of the registration form.

Article 18. Data collection

Com&Co reserves the right to collect personal information and personal data about you. They are necessary for the management of the missions as well as for the improvement of the services and the information that we send to you. They may also be forwarded to the contributing companies responsible for the performance of the services and to the payment and to all subsidiaries of the company.

This information and data are also kept for security purposes in order to comply with legal and regulatory requirements.

The data collected are intended for the use of the Platform. They are necessary for the processing and management of the service offered by the Platform to its Users.
